1. Acceptance of Terms

By accessing or using StockDebate AI ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Service Description

StockDebate AI is an AI-powered entertainment and education platform that generates structured debates presenting hypothetical bull and bear perspectives on publicly listed stocks. The Service produces text and audio content for informational and educational purposes. Content is generated automatically using large language models and does not reflect the views of any human analyst, financial advisor, or StockDebate AI as an entity. StockDebate AI is not an investment advisory service and does not provide personalized financial recommendations.

4. Account Registration

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information during registration and to update it as necessary.

5. Credits and Payments

The Service operates on a credit system. Credits are purchased in packs and consumed per debate generated. The following payment terms apply:

• Credits are non-refundable once consumed, except in the case of a failed debate generation, in which case credits are automatically returned to your account.
• Credits expire as stated at the time of purchase.
• Payments are processed by Stripe. By making a purchase you also agree to Stripe's terms of service.
• All prices are in USD unless otherwise stated.
• We reserve the right to change pricing at any time. Price changes do not affect already-purchased credit packs.

6. API Access

StockDebate AI provides a developer API for programmatic debate generation. By using the API you agree to the following additional terms:

• API keys are personal credentials. You are responsible for all requests made with your key. Do not share or expose your API key in client-side code or public repositories.
• Credits consumed via API are subject to the same non-refund policy as web-generated debates, except in the case of a failed generation.
• Rate limits and fair-use policies apply. We reserve the right to suspend or revoke API access for accounts that abuse the Service or violate these Terms.
• You may integrate API output into your own products or workflows, provided that all AI-generated content is clearly disclosed as such and not presented as human-authored financial research.

7. x402 USDC Payments and Automated Agent Use

The Service supports payment via the x402 protocol, allowing AI agents and automated systems to pay per request using USDC on the Base network without creating an account. The following terms apply to all x402 payments:

• Payments are final. USDC transfers executed on-chain cannot be reversed or refunded. Ensure the request parameters (ticker, market, format, language) are correct before submitting a payment. The only exception is a server-side generation failure, which does not consume the payment.
• No account is created. x402 debates are not associated with any user account. There is no dashboard, history, or recovery mechanism for debates generated this way — save the debate ID returned in the API response.
• Debates are publicly accessible. Because x402 debates have no account owner, any person or system with the debate URL (/debate/{id}) can view the full content without authentication. Do not generate debates containing information you consider private or sensitive.
• Agent responsibility. If you operate an AI agent or automated system that uses the x402 endpoint, you are responsible for ensuring the agent complies with these Terms, including the acceptable use policy and the not-financial-advice disclaimer. Agents may not present generated debate content as human-authored analysis or as investment advice.
• Minimum payment amounts and supported assets are defined by the server's payment descriptor returned in the X-Payment-Response header of the initial 402 response. These may change without prior notice.

Human users and AI agents interacting with this Service via the x402 protocol are deemed to have accepted these Terms at the time of payment.

8. Acceptable Use

You agree not to use the Service to:

• Generate content for the purpose of market manipulation or securities fraud.
• Redistribute or resell generated content as proprietary financial research without clearly disclosing its AI-generated origin.
• Attempt to reverse-engineer, scrape, or automate the Service beyond its API.
• Violate any applicable laws or regulations.

9. Intellectual Property

You retain ownership of the specific debate content generated for your account. StockDebate AI retains all rights to the Service, its underlying models, software, and infrastructure. You may not claim that AI-generated debates represent original human research or analysis.

10. Disclaimers and Limitation of Liability

The Service is provided "as is" without warranties of any kind, express or implied, including but not limited to accuracy, completeness, or fitness for a particular purpose. AI-generated content may contain errors, outdated information, or hallucinations.

To the maximum extent permitted by applicable law, StockDebate AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to investment losses, arising from your use of or reliance on content generated by the Service.

11. Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by updating the "Last updated" date above. Continued use of the Service after changes constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by applicable law. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration or in a court of competent jurisdiction, as determined by the governing law of the jurisdiction where the operator is registered.
